The goods identified herein, when delivered to the Buyer under the terms and conditions stated on our invoice in good condition and properly consigned will be at the Buyer's risk upon delivery to the Buyer at the stated point. Prepayment or allowance of freight by Seller shall not affect this provision. Seller shall not be liable for any loss or damage resulting from the handling or use of the goods after such delivery.
Any technical advice furnished Buyer before or after delivery of the goods in regard to the use of said goods will be without charge on the basis that is represents Seller's best judgment under the circumstances but that it is used at the Buyer's sole risk.
Seller warrants the goods manufactured by seller have been or will be manufactured by seller in accordance with seller's specifications therefore and to be free from defects in title, material, and workmanship at the time of delivery. Buyer assumes full responsibility contemplated use. The warranties stated herein are exclusive. There are no other warranties, either expressed or implied, beyond those set forth herein and in the foregoing paragraphs. There is no warranty of merchantability and there are no warranties of fitness for any purpose.
If the goods furnished hereunder do not conform to the applicable specifications or description, Seller agrees, at its option, to replace the goods or repay the purchase price of the applicable pro-rata purchase price there, or if not paid, to allow credit therefore. The remedies set forth herein are in lieu of all other remedies. This agreement is not assignable or transferable except with the Seller's written consent. No changes in or additions to this contract shall be of any effect unless contained in writing signed by the party claimed to be bound thereby. No written or oral communication from Seller to Buyer pre-dating the date here shall be deemed an acceptance of Buyer's order or to impose contractual obligations on Seller with respect to it. The interpretation and effect hereof shall be governed by the laws of the State of New York.
All Returns are to be reported within 30 days from the date of purchase and are subject to a 25% restocking charge. |
